1. Introduction

These Terms and Conditions govern access to and use of the website at https://www.frigipan.co.za/ (the “Website”), as well as quotations, orders and the supply of products by Frigipan (Pty) Ltd (“Frigipan”, “we”, “us” or “our”).

By using the Website, requesting a quotation, creating an account or placing an order, you agree to these Terms and Conditions. If you do not agree, please do not use the Website or submit an order.

2. About Frigipan

Frigipan manufactures and supplies insulated panel systems, cold-room and freezer-room panels, prefabricated building solutions, insulated doors, profiles, hardware and related components.

Unless expressly agreed in writing, Frigipan does not provide installation, construction, engineering certification or professional design services. Installation shown in photographs or project examples is performed by customers or independent contractors.

3. Website use

You may use the Website only for lawful purposes. You may not interfere with its operation, attempt unauthorised access, introduce malicious code, scrape it in a manner that disrupts service, or use its content in violation of Frigipan’s intellectual-property rights.

We may suspend or restrict access where reasonably necessary for security, maintenance, suspected misuse or legal compliance.

4. Product information

We take reasonable care to describe products accurately. Images, colours, diagrams, dimensions and descriptions are illustrative unless a quotation or technical data sheet expressly confirms them. Screen settings, manufacturing tolerances, raw-material availability and product improvements may cause minor differences.

Customers must review the applicable quotation, drawings and technical data sheets before approving an order. If website information conflicts with an accepted written quotation or signed specification, the accepted quotation or signed specification will apply.

5. Quotations and orders

Adding products to a quote list, submitting an enquiry or requesting a quotation does not create a binding order. A binding agreement arises only when Frigipan confirms the order in writing and any required deposit or payment has been received.

Unless stated otherwise, quotations:

• are valid for the period stated on the quotation;
• are subject to stock, material availability and production capacity;
• exclude delivery, installation and other charges unless expressly included; and
• may be withdrawn before acceptance if an obvious error has occurred.

Any change to an accepted order may affect the price and lead time and is valid only once Frigipan confirms it in writing.

6. Pricing and payment

Prices displayed on the Website may change and must be confirmed by quotation. The quotation will state whether VAT, transport, packaging and other charges are included.

Payment must be made in the manner and by the due date stated on the invoice or quotation. Frigipan may delay production, dispatch or collection until cleared payment or the agreed deposit has been received.

Ownership of products remains with Frigipan until all amounts due for those products have been paid in full, to the extent permitted by law.

7. Customer specifications and approval

The customer is responsible for providing complete and accurate measurements, quantities, drawings, application details, site information and performance requirements. The customer must confirm that the selected products are suitable for the intended application.

Manufacturing will proceed according to the final dimensions, drawings and specifications approved by the customer. Frigipan is not responsible for loss caused by inaccurate or incomplete customer-supplied information, except where the law provides otherwise.

8. Custom-made products

Cut-to-size panels, custom doors, made-to-order components and other specially manufactured products are produced for a specific customer. Once material has been ordered, cut or production has started, such products may not be cancelled or returned merely because the customer has changed their mind, subject always to rights that cannot lawfully be excluded under the Consumer Protection Act.

Approved changes or cancellations may be subject to reasonable costs already incurred and any lawful cancellation charge disclosed to the customer.

9. Delivery and collection

Delivery dates and production lead times are estimates unless Frigipan expressly guarantees a date in writing. Delays caused by material shortages, carriers, weather, access restrictions, industrial action, power interruptions or other circumstances reasonably outside Frigipan’s control will be communicated where practicable.

For customer collection, products must be collected at the agreed time using a suitable vehicle and appropriate securing equipment. For delivery, the customer must ensure safe access and suitable off-loading arrangements unless off-loading is expressly included.

Risk passes to the customer when the products are handed to the customer or its carrier on collection, or when delivered at the agreed delivery point, subject to applicable law.

10. Inspection, defects and shortages

Customers should inspect products as soon as reasonably possible after collection or delivery. Visible transport damage, shortages or incorrect items should be noted on the delivery document and reported promptly with the order number, photographs and relevant details.

Products must not be installed where a defect or incorrect specification is reasonably apparent. Installation may make investigation or recovery more difficult. This clause does not remove any non-excludable statutory rights.

Where goods are defective, unsafe, incorrectly supplied or fail to meet an applicable statutory warranty, Frigipan will provide the remedy required by South African law. Depending on the circumstances, this may include repair, replacement or refund.

11. Installation and third-party contractors

Frigipan manufactures and supplies products. Unless separately agreed in writing, the customer is responsible for appointing competent installers and ensuring compliance with building plans, structural requirements, fire regulations, refrigeration requirements and all applicable laws and standards.

Frigipan is not responsible for workmanship, site preparation, structural support, sealing, electrical work, refrigeration work or damage caused by incorrect storage, handling, modification or installation by the customer or a third party.

12. Warranties

Any product-specific warranty will be stated in the quotation, invoice, technical data sheet or written warranty document. Warranty claims may require proof of purchase, photographs, inspection and reasonable access to the affected product.

No term in these Terms excludes or limits a warranty, remedy or consumer right that may not lawfully be excluded under the Consumer Protection Act or other applicable law.

13. Accounts and security

You are responsible for keeping account credentials confidential and for activity conducted through your account. Notify Frigipan promptly if you suspect unauthorised access. We may suspend an account where necessary to protect the customer, Frigipan or the Website.

14. Intellectual property

The Website and its text, graphics, product photographs, drawings, logos, layouts and downloadable material are owned by or licensed to Frigipan and are protected by applicable intellectual-property laws. They may be viewed and downloaded for legitimate product-evaluation or purchasing purposes, but may not be republished, sold, altered or commercially exploited without written permission.

15. Privacy

Personal information is processed in accordance with Frigipan’s Privacy Policy and POPIA Policy. By submitting information, you confirm that it is accurate and that you are authorised to provide it.

16. Limitation of liability

To the fullest extent permitted by law, Frigipan will not be liable for indirect, special or consequential loss arising from use of the Website or products, including loss caused by unsuitable selection, inaccurate customer measurements, improper storage, modification or third-party installation.

Nothing in these Terms excludes liability or rights that cannot lawfully be excluded, including liability arising from gross negligence where exclusion is prohibited.

17. Events beyond reasonable control

Frigipan will not be responsible for delay or failure caused by events reasonably beyond its control. We will take reasonable steps to limit the effect and resume performance when practicable.

18. Governing law and disputes

These Terms are governed by the laws of the Republic of South Africa. The parties should first attempt to resolve a dispute in good faith. Nothing prevents a consumer from approaching a competent court, ombud, regulator or other body available under applicable law.

19. Changes to these Terms

We may update these Terms from time to time. The version published when a quotation is accepted will apply to that transaction unless a later change is required by law or agreed in writing.
